By creating an account, accessing, or using SongSmartAI, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with these Terms, do not use our platform.

2. Account Registration and Eligibility

Eligibility

• You must be at least 13 years old to use SongSmartAI
• If you are under 18, you must have parental or guardian consent
• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials

Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

3. User Responsibilities and Acceptable Use

You Agree Not To:

• Upload content that violates copyright, trademark, or other intellectual property rights
• Upload malicious software, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the platform for any illegal or unauthorized purpose
• Abuse, harass, threaten, or intimidate other users
• Scrape, crawl, or automatically extract data from our platform
• Reverse engineer, decompile, or disassemble any part of our service
• Use our platform to distribute spam or unsolicited messages
• Interfere with or disrupt the integrity or performance of the platform
• Create multiple accounts to circumvent trial or subscription limitations

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

4. Intellectual Property Rights

Your Content

• Ownership: You retain all ownership rights to the sheet music PDFs and content you upload
• License to Us: By uploading content, you grant SongSmartAI a limited license to store, process, and display your content solely for the purpose of providing our services
• AI Processing: You grant us permission to send your PDFs to Google Gemini API for automated processing and metadata extraction
• Public Gig Pages: When you publish a public gig page, you acknowledge that its contents (event details, setlist, venue, hero image) are publicly accessible to anyone with the link. You are solely responsible for the content you publish on public gig pages
• Your Responsibility: You represent and warrant that you have the right to upload and share all content you submit to our platform

Our Platform

SongSmartAI and its original content, features, and functionality are owned by SongSmartAI and are protected by international copyright, trademark, and other intellectual property laws.

5. Subscription and Billing

Free Trial

• New users receive a 7-day free trial to test the platform
• No payment information is required during the trial period
• You can cancel at any time during the trial without being charged
• After the trial expires, access to premium features will be restricted

Paid Subscriptions

We offer two paid subscription tiers:

• Basic: $10/month or $8/month billed annually — up to 50 PDF uploads, 50 setlists, up to 2 public gig pages per month
• Pro: $15/month or $12/month billed annually — unlimited uploads, unlimited setlists, unlimited public gig pages, Spotify & YouTube sync, priority support

• Billing Cycle: Subscriptions are billed monthly or annually based on your selected plan
• Payment Processing: All payments are processed securely through Stripe
• Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Price Changes: We reserve the right to modify subscription prices with 30 days' notice to existing subscribers
• Refunds: Subscription fees are non-refundable except as required by law or at our sole discretion

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until that date.

6. Service Availability and Modifications

Availability

We strive to provide reliable and continuous service, but we do not guarantee that:

• The platform will be available without interruption
• All features will function error-free at all times
• The service will be available in all geographic regions
• AI processing results will be 100% accurate

Modifications

We reserve the right to modify, suspend, or discontinue any part of our service at any time. We will make reasonable efforts to notify users of significant changes.

7. Data and Privacy

Your use of SongSmartAI is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using our service, you consent to the practices described in our Privacy Policy.

8. Third-Party Services

Our platform integrates with third-party services including:

• Google Gemini AI: For PDF processing and metadata extraction
• Stripe: For payment processing
• Resend: For transactional email delivery
• Google OAuth: For authentication
• Spotify / YouTube: For optional playlist sync and export (Pro plan)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• SongSmartAI is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of SongSmartAI shall not exceed the total fees you paid us in the three (3) months immediately preceding the event giving rise to the claim. If you have not paid any fees, our maximum liability is $5.00.
• We are not responsible for loss of data, profits, revenue, or business opportunities
• We are not liable for AI processing errors, inaccuracies in extracted metadata, incorrect song identification, or any outcome resulting from reliance on AI-generated content
• We are not liable for any loss or corruption of uploaded files; you are responsible for maintaining independent backups of your sheet music

10. Copyright Infringement — DMCA Policy

SongSmartAI respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).

Reporting Copyright Infringement

If you believe content on SongSmartAI infringes your copyright, please send a written notice to our Designated Agent including:

• Your physical or electronic signature
• Identification of the copyrighted work you claim has been infringed
• Identification of the material you claim is infringing and its location on our platform
• Your contact information (address, phone number, email)
• A statement that you have a good faith belief the use is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information in your notice is accurate and you are authorized to act on behalf of the copyright owner

Designated Agent

Our designated agent is registered with the U.S. Copyright Office (Registration No. DMCA-1071697). To submit a takedown notice, please contact us at with the subject line "DMCA Takedown Request."

Upon receiving a valid DMCA notice, we will promptly remove or disable access to the allegedly infringing content and notify the user who posted it. Repeat infringers may have their accounts terminated.

11. Indemnification

You agree to indemnify, defend, and hold harmless SongSmartAI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the platform
• Your violation of these Terms
• Your violation of any rights of another party
• Content you upload or share through our platform

12. Account Termination

Termination by You

You may delete your account at any time through your account settings. Upon deletion:

• Your access to the platform will be immediately revoked
• Your uploaded files will be permanently deleted within 30 days
• Your account information will be removed from our active systems

Termination by Us

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service
• Your account is inactive for an extended period
• We are required to do so by law
• Your use poses a security or legal risk

13. Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or your use of SongSmartAI shall be resolved through:

• Good faith negotiation between the parties
• If negotiation fails, binding arbitration in accordance with applicable arbitration rules
• Arbitration shall be conducted individually, not as a class action

14. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes through:

• Email notification to your registered email address
• A prominent notice on our platform
• Updating the "Last Updated" date at the top of this page

Your continued use of SongSmartAI after changes become effective constitutes acceptance of the modified Terms.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SongSmartAI regarding use of the platform.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account to any third party without our written consent. We may assign our rights and obligations without restriction.
